ACT OF ACCESSION TO TRIUMPH ALLIANCE

1. PARTIES

This Act is entered into between:

registered under the laws of the Czech Republic, with its registered office at:

represented by: Bronislav Kulikov
TRIUMPH Alliance Chairman
Vice Chairman of the Board, TRIUMPH INVEST a.s.
hereinafter referred to as the "Alliance Coordinator"

and

The Alliance Coordinator and the Participant are hereinafter jointly referred to as the "Parties".

2. PURPOSE OF THE ACT

By executing this Act, the Participant voluntarily joins TRIUMPH Alliance and expresses its support for the objectives, principles, architecture and activities defined in the TRIUMPH ALLIANCE CHARTER. The Participant acknowledges that TRIUMPH Alliance is an international industrial, technological, scientific and coordination ecosystem established and coordinated by TRIUMPH INVEST a.s.

3. ACCEPTANCE OF THE CHARTER

The Participant confirms that it has reviewed and accepts the principles, objectives, governance mechanisms and operational architecture of TRIUMPH Alliance as defined in the TRIUMPH ALLIANCE CHARTER, including any applicable annexes and internal governance instruments.

4. STATUS OF MEMBERSHIP

By executing this Act, the Participant becomes an official member of TRIUMPH Alliance. Membership grants the Participant access to the Alliance ecosystem and eligibility to participate in its activities.

Membership in the Alliance does not create:

• corporate obligations
• financial obligations
• investment obligations
• procurement obligations
• supply obligations
• exclusivity obligations
• obligations to participate in projects
• obligations to provide personnel, technologies or resources.

Membership in the Alliance is entirely voluntary. Membership does not guarantee participation in any specific project, consortium, tender, program or initiative. Participation in specific projects shall always be determined separately.

5. REGISTER OF PARTICIPANTS

Upon execution of this Act, the Participant shall be included in the internal Register of Participants of TRIUMPH Alliance. The Register of Participants is an internal coordination instrument and is not intended for public disclosure.

The Participant acknowledges that its inclusion in the Register serves the purpose of:

• facilitating communication
• enabling consortium formation
• enabling working group formation
• enabling strategic coordination
• supporting the development of future projects and programs.

6. CONFIDENTIALITY

By executing this Act, the Participant automatically accepts the basic confidentiality and Non-Disclosure (NDA) principles of TRIUMPH Alliance. The Participant undertakes not to disclose confidential information obtained through Alliance activities without the prior consent of the relevant rights holder, participant or Alliance Coordinator. Additional NDAs may be executed for specific projects or initiatives.

7. INFORMATION SHARING

The Participant agrees to receive information regarding:

• projects under development
• ongoing negotiations
• international initiatives
• consortium opportunities
• governmental programs
• investment opportunities
• industrial cooperation opportunities
• strategic developments within the Alliance.

The purpose of such information sharing is to ensure prior awareness of opportunities that may arise within the Alliance ecosystem.

10. PUBLIC DISCLOSURE

The Participant shall independently determine whether its participation in TRIUMPH Alliance may be publicly disclosed.

12. TERM OF PARTICIPATION

Membership shall commence upon execution of this Act and shall remain valid until terminated by either Party. The Participant may withdraw from TRIUMPH Alliance at any time by providing written notice to the Alliance Coordinator.

13. FINAL PROVISIONS

This Act does not constitute a partnership agreement, joint venture agreement, procurement agreement, investment agreement or any other legally binding commercial relationship. This Act establishes membership within TRIUMPH Alliance and access to its coordination ecosystem. This Act shall enter into force upon signature by both Parties.
